General Terms and Conditions of Business

1. Scope of application

The following T&C apply to all orders placed via our online shop by consumers and entrepreneurs.

A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to his commercial nor to his independent professional activity. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity.

These T&C shall also apply to future business relations with entrepreneurs without us having to refer to them again. If the entrepreneur uses conflicting or supplementary general terms and conditions, their validity is hereby rejected; they shall only become part of the contract if we have expressly agreed to them.

2. Contracting party

The purchase contract shall be concluded with AZ-Delivery Vertriebs GmbH ("we", "us" and "our").

3. Conclusion of contract

The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding online catalogue. You can initially place our products in the shopping basket without obligation and correct your entries at any time before sending your binding order by using the correction aids provided and explained for this purpose in the ordering process. By clicking on the order button, you place a binding order for the goods contained in the shopping basket. Confirmation of receipt of your order will be sent by e-mail immediately after you have sent the order.

When the contract with us is concluded by our acceptance of your binding offer depends on the payment method you have chosen (please see below). We strive to provide correct information on our website and in our other communications. However, sometimes errors may occur due to technical issues or human mistakes and in such cases, where the error should have been obvious to you (e.g., unreasonably low price) and executing the contract would be unreasonable to us (e.g., lead to a significant loss), in accordance with the relevant law, we reserve the right to cancel such contracts.

Invoice

We accept your order by sending a declaration of acceptance in a separate e-mail or by delivering the goods within two days.

Credit card

When you place your order, you also send us your credit card details. After your legitimation as a legitimate cardholder, we request your credit card company to initiate the payment transaction and thereby accept your offer.

PayPal Express

During the ordering process you will be redirected to the website of the online provider PayPal. There you can enter your payment details and confirm the payment instruction to PayPal. After placing the order in the shop, we request PayPal to initiate the payment transaction and thereby accept your offer.

Sofort GmbH

After placing the order, you will be redirected to the website of the online provider Sofort GmbH, where you confirm the payment instruction. This concludes the contract with us. When paying with Sofort, up to 14 days may pass until the payment service provider confirms the payment to us. The order can only be dispatched after this time.

Payment by SEPA direct debit

The buyer can give AZ-Delivery Vertriebs GmbH a SEPA basic mandate. The period for advance notification (pre-notification) shall be reduced to one day. The buyer shall ensure that the account is covered. Any costs incurred as a result of the direct debit not being redeemed or reversed shall be borne by the buyer, as long as the redemption or reversal was not caused by AZ-Delivery Vertriebs GmbH.

4. Contract language, contract text storage

The languages available for the conclusion of the contract are German and English.
We store the text of the contract and send you the order data and our T&C by e-mail. For security reasons, the contract text is no longer accessible via the Internet.

5. Delivery conditions

Shipping costs are added to the stated product prices. You will find more details about the shipping costs in the offers. Furthermore, if your delivery address is located outside of the EU your delivery may be subject to import duties and taxes, which are levied once a delivery reaches your country. These will not be included in the final price charged by us. You are responsible for paying any additional charges for customs clearance. You are advised to contact your local customs office for further information.

6. Payment

In our shop, the following payment methods are generally available to you:

Credit card

When you place your order, you also send us your credit card details.
After your legitimation as a legitimate cardholder, we will request your credit card company to initiate the payment transaction immediately after the order. The payment transaction will be carried out automatically by the credit card company and your card will be charged.

PayPal Express

During the order process you will be redirected to the website of the online provider PayPal. In order to pay the invoice amount via PayPal, you must be registered there or register first, authenticate yourself with your access data and confirm the payment instruction to us. After placing the order in the shop, we request PayPal to initiate the payment transaction.

Sofort GmbH

After placing your order, you will be redirected to the website of the online provider Sofort GmbH. In order to be able to pay the invoice amount via Sofort, you must have an online banking account with PIN/TAN procedure that has been activated for participation in Sofort, identify yourself accordingly and confirm the payment instruction to us. You will receive further instructions during the ordering process. The payment transaction will be carried out immediately afterwards by Sofort and your account will be debited.

Invoice

You pay the invoice amount after receipt of the goods and the invoice by bank transfer to our bank account. We reserve the right to offer purchase on account only after a successful credit check.

7. Reservation of proprietary rights

The goods remain our property until full payment has been made.
For entrepreneurs, the following shall apply additionally: We shall retain title to the goods until all claims arising from an ongoing business relationship have been settled in full. You may resell the goods subject to retention of title in the ordinary course of business; you assign to us in advance all claims arising from this resale - irrespective of any combination or mixing of the goods subject to retention of title with a new item - in the amount of the invoice amount, and we accept this assignment. You remain authorized to collect the claims, but we may also collect claims ourselves insofar as you do not meet your payment obligations.

8. Transport damages

- The following applies to consumers:
If goods are delivered with obvious transport damage, please complain about such faults to the delivery company as soon as possible and contact us immediately. Failure to make a complaint or contact us has no consequences for your legal claims and their enforcement, in particular your warranty rights. However, they help us to be able to assert our own claims against the carrier or the transport insurance.

- The following applies to entrepreneurs:
The risk of accidental loss and accidental deterioration shall pass to you as soon as we have delivered the item to the forwarding agent, the carrier or the person or institution otherwise designated to carry out the shipment. Among merchants, the obligation to inspect and give notice of defects regulated in § 377 of the German Commercial Code (HGB) applies. If you fail to give notice as regulated therein, the goods shall be deemed to have been approved, unless the defect was not noticeable during the inspection. This does not apply if we have fraudulently concealed a defect.

9. Warranty rights and liability

Unless otherwise stipulated in these T&C including the following provisions, we shall be liable for a breach of contractual and non-contractual obligations in accordance with the statutory provisions.

We shall be liable for damages - irrespective of the legal grounds - within the scope of culpability in the event of intent and gross negligence. In the event of simple negligence, we shall be liable, subject to statutory limitations of liability (e.g. care in own matters; insignificant breach of obligation), only

  1. For damages resulting from injury to life, body or health,
  2. For damages arising from the breach of an essential contractual obligation (obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on the observance of which the contractual partner regularly relies and may rely); in this case, however, our liability shall be limited to compensation for the foreseeable, typically occurring damage.
The limitations of liability just set out shall also apply in the event of breaches of duty by resp. for the benefit of persons, whose fault we are responsible for according to statutory provisions. They do not apply insofar as we have fraudulently concealed a defect or have assumed a guarantee for the quality of the goods and for claims under the Product Liability Act.


10. Dispute resolution

The European Commission provides a platform for Online Dispute Resolution (ODR), which you can find here.
We are not obliged or willing to participate in a dispute resolution procedure before a consumer arbitration board.

11. Final provisions

If you are an entrepreneur, German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

If you are a merchant within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, the exclusive place of Venue for all disputes arising from contractual relationships between you and us shall be our place of business.

Safety instructions

When handling products that come into contact with electrical voltage, the applicable VDE regulations must be observed, in particular VDE 0100, VDE 0550/0551, VDE 0700, VDE 0711 and VDE 0860. Before opening a unit, always disconnect the mains plug or ensure that the unit is current-free. Components, assemblies or devices may only be put into operation if they have been previously installed in an enclosure so that they are safe from accidental contact. They must be current-free during installation.


Tools may only be used on devices, components or assemblies if it has been ensured that the devices are disconnected from the supply voltage and that electrical charges stored in the components located in the device have been discharged beforehand.


Live cables or lines to which the unit, component or assembly is connected must always be inspected for insulation faults or breaks. If a fault is detected in the supply line, the unit must be taken out of operation immediately until the defective line has been replaced. When using components or assemblies, it must always be pointed out that the characteristic data for electrical variables specified in the associated description must be strictly adhered to. If it is not clear for the non-professional end user from an existing description which electrical characteristic values apply to a component or assembly, how external wiring is to be carried out or which external components or additional devices may be connected and which connection values these external components may have, an expert must always be consulted for information. Before putting a unit into operation, it must generally be checked whether this unit or assembly is fundamentally suitable for the application for which it is to be used!

In case of doubt, it is absolutely necessary to consult specialists, experts or the manufacturers of the assemblies used!

Please note that operating and connection errors are beyond our control. Understandably, we cannot accept any liability for damage resulting from them. In the event of malfunction, kits should be returned with an exact description of the fault (stating what is not working, as only an exact description of the fault will enable a faultless but chargeable repair!) and the associated assembly instructions, as well as without the housing. For understandable reasons, we have to charge extra for time-consuming assembly or disassembly of housings. Kits that have already been assembled are excluded from exchange. It is essential to observe the VDE regulations when installing and handling mains voltage. Devices that are operated at a voltage above 35 V may only be connected by a specialist. In any case, it must be checked whether the kit or the circuit board is suitable or can be used for the respective application and place of use.

According to DIN VDE 0869, the person who completes a kit or makes an assembly ready for operation by extending it or installing it in a housing is considered to be the manufacturer and is obliged to supply all accompanying documents and also to state his name and address when passing on the device. Devices that are assembled from kits are to be regarded as an industrial product in terms of safety.

Intended Usage (operating conditions)

Our modules have been developed as experimentation and learning boards. They are not suitable for taking over tasks in productive operation. The modules are intended for use in dry and clean rooms. Any other use is not permitted.

The non-intended use of our products can damage or destroy them, which is associated with hazards such as short-circuit; fire, electric shock, radio interference, etc. The products must not be modified or converted. Under no circumstances may 230V network voltage be connected - there is a danger to life. The modules may only be operated at the voltage specified for them. In the case of units with an operating voltage of 35 volts or more, final assembly may only be carried out by a specialist in compliance with the VDE regulations. The operating position of the unit is arbitrary.

When installing the units, ensure that the cable cross-section of the connection lines is sufficient! The connected loads must be connected in accordance with the VDE regulations. The permissible ambient temperature (room temperature) must not exceed or fall below 0°C and 40°C during operation.

If condensation forms, wait for an adaptation period of up to 2 hours. In commercial facilities, the accident prevention regulations of the German Federation of Institutions for Statutory Accident Insurance and Prevention (Verband der gewerblichen Berufsgenossenschaften) for electrical systems and equipment must be observed.

In schools, training facilities, hobby and self-help workshops, the operation of assemblies must be supervised responsibly by trained personnel.

Do not operate the modules in an environment in which flammable gases, vapours or dusts are or may be present.

If the unit ever needs to be repaired, only original spare parts may be used! The use of other spare parts can lead to serious damage to property and personal injury!

If any liquid enters the unit, it could be damaged.

Please note that the legal regulations must be observed when operating a radio module. These regulations govern channel use, transmission power, etc.! Operation may only take place in approved frequency ranges with the maximum permitted transmission power and transmission duration. Please obtain this information from the respective competent authority. For Germany, you can find this information under www.bundesnetzagentur.de . Please also refer to the data sheet of the radio module manufacturer.

Liability, EMC conformity

All parts of the circuit have been carefully checked and tested. Nevertheless, we can of course not guarantee that everything will work perfectly. In particular, we accept no liability for damage caused by rebuilding, commissioning etc. of the circuits presented on our website or in our documentation. The person assembling the kit or project is considered the manufacturer and is therefore responsible for compliance with the applicable safety and EMC directives and regulations.

Unless otherwise stated, all PCBs, kits, modules and boards are generally "non-CE approved" components and are designed for installation in equipment or enclosures. CE standards must be observed during use. The purchaser is responsible for this.

Liability is generally excluded for damage caused by faulty assembly, directly or indirectly. Claims for damages which do not concern injury to life, body or health are excluded if they are not based on a deliberate or grossly negligent breach of obligation. Insofar as we are liable, our liability does not include such damages that could not typically be expected. Liability and claims for damages are limited to the order value / component value. In the case of the delivery of third-party products as well as software, the special licensing or other conditions of the manufacturer shall apply in addition to these conditions.
